Terms of Service

1. Acceptance of Terms
By accessing or using Remote Admin by RoUtilities ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
2. Account Registration and Eligibility
2.1 Eligibility
You must be at least 13 years old to use our Service. By using the Service, you represent and warrant that:
- You are at least 13 years of age
- You have the legal capacity to enter into these Terms
- You will comply with all applicable laws and regulations
- All information you provide is accurate and current
2.2 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, complete, and current information
- Maintain and update your account information as necessary
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
2.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, or any other reason we deem necessary to protect the Service and its users.
3. Acceptable Use
3.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service to:
- Manage and administer your Roblox games
- Moderate player behavior and enforce game rules
- Monitor game activity and statistics
- Coordinate with your team members within workspaces
3.2 Prohibited Activities
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any laws
- Violate Roblox's Terms of Service or Community Guidelines
- Harass, abuse, or harm other users or players
- Impersonate any person or entity or misrepresent your affiliation
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Transmit viruses, malware, or any harmful code
- Collect or harvest information about other users without consent
- Use the Service to violate player privacy or data protection rights
- Engage in any activity that could damage, disable, or impair the Service
- Use the Service to correlate, aggregate, or cross-reference player data across Roblox experiences that you do not own or operate — see Section 7 for full details
4. Billing and Subscriptions
4.1 Subscription Plans
The Service offers various subscription plans with different features and limits. Plan details, pricing, and features are subject to change. We will provide reasonable notice of any material changes to pricing or features.
4.2 Free Trial
New workspaces may be eligible for a free trial period. Trial terms, duration, and eligibility are determined by us and may change at any time. Upon trial expiration, you will be required to subscribe to a paid plan to continue using premium features.
4.3 Payment Terms
- Subscriptions are billed in advance on a monthly basis
- Payments are processed securely through Stripe
- All fees are non-refundable except as required by law
- You are responsible for all applicable taxes
- Failure to pay may result in service suspension or termination
4.4 Plan Limits
Subscription plans include limits on Monthly Active Users (MAU) and staff members. Exceeding these limits may result in service restrictions or require plan upgrades. We reserve the right to enforce plan limits and may restrict access when limits are exceeded.
4.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period. No refunds will be provided for partial billing periods.
4.6 Refunds
All fees are non-refundable unless required by applicable law or as otherwise specified. Refund requests will be evaluated on a case-by-case basis.
5. Workspace Management
5.1 Workspace Ownership
Workspaces are owned by the user who creates them. Workspace owners have full control over workspace settings, members, and data. Owners may transfer ownership or delete workspaces at any time.
5.2 Staff Members
Workspace owners may invite staff members with different roles (Admin, Moderator, Viewer). Staff members are subject to plan limits and access controls. Owners are responsible for managing staff access and ensuring compliance with these Terms.
5.3 Platform Administrators
Platform administrators (website owners and admins) may have access to manage workspaces for administrative purposes. Such access is limited to necessary administrative functions and is subject to our internal policies.
6. Moderation and Content
6.1 Your Responsibility
You are solely responsible for all moderation actions, commands, and content management performed through the Service. You agree to:
- Use moderation tools responsibly and in accordance with Roblox's policies
- Respect player rights and privacy
- Comply with all applicable laws regarding data collection and moderation
- Not use the Service to harass, discriminate, or harm players
6.2 Content Monitoring
We may monitor content and activity on the Service to ensure compliance with these Terms and to maintain service quality. However, we are not obligated to monitor and are not responsible for user-generated content or moderation actions.
6.3 Data Collection
By using the Service, you acknowledge that we collect and store game data, player information, chat logs, and moderation records as necessary to provide the Service. You are responsible for ensuring that your use of the Service and data collection complies with applicable privacy laws and Roblox's policies.
7. Player Data Use Restrictions
7.1 Purpose Limitation
Player data collected through the Service (including player identifiers, usernames, behavioral events, chat logs, and moderation records) is collected solely for the purpose of operating, moderating, and analysing the specific Roblox experience(s) associated with the workspace in which that data was collected. You may not use player data collected in one workspace for any purpose related to a different workspace, game, or experience — including but not limited to moderation decisions, analytics, marketing, or player profiling.
7.2 Prohibition on Cross-Experience Data Correlation
You expressly agree that you will not use the Service, its APIs, its data exports, or any data obtained through the Service to correlate, aggregate, join, or cross-reference player data across two or more Roblox experiences that are registered under separate workspaces — regardless of whether you own or operate those workspaces.
For the avoidance of doubt, this prohibition applies to:
- Querying or comparing player records (bans, events, chat logs, or moderation history) from Game A against player records from Game B, where A and B are different Roblox experiences
- Building profiles of individual Roblox players by combining data points from multiple experiences or workspaces, even if you are the owner of all workspaces involved
- Exporting data from multiple workspaces and processing it externally to achieve the same cross-experience correlation
- Using the Service's admin or reporting features in a manner that surfaces or aggregates player-level records across experience boundaries
This restriction reflects requirements under Roblox's Creator Third-Party App Policy, which prohibits third-party services from profiling players across experiences, as well as obligations under applicable data protection law including the EU General Data Protection Regulation (GDPR) purpose limitation principle (Article 5(1)(b)) and the U.S. Children's Online Privacy Protection Act (COPPA).
7.3 Data Processor Acknowledgement
You acknowledge that Remote Admin by RoUtilities acts as a data processor on your behalf with respect to Roblox player data. You, as the workspace owner and Roblox game developer, are the data controller and/or COPPA operator responsible for that data. The terms governing how we process personal data on your behalf are set out in our Data Processing Agreement (DPA), which is incorporated into and forms part of these Terms of Service. By creating a workspace and using the Service, you agree to the DPA.
You represent and warrant that:
- Your collection and transmission of Roblox player data to the Service is permitted under Roblox's Terms of Service and applicable law
- Your use of the Service is covered by your own applicable privacy disclosures, including any privacy notices required for your Roblox experience's players
- Where applicable, your privacy disclosures specifically identify Remote Admin by RoUtilities as a service provider or data processor to whom player data is transmitted, as required under applicable law including the amended FTC COPPA Rule (effective April 2026) and GDPR Article 14
- You have a lawful basis under applicable data protection law for processing the player data you transmit to the Service
7.4 Consequences of Violation
Violation of this Section 7 is a material breach of these Terms and will result in immediate account suspension or termination without notice or refund. You agree to indemnify and hold Remote Admin by RoUtilities harmless from any claims, fines, regulatory penalties, or damages arising from your violation of these data use restrictions, including any enforcement action by Roblox, the FTC, EU data protection authorities, or any other regulatory body.
8. Intellectual Property
8.1 Our Rights
The Service, including its software, design, features, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
8.2 Your Content
You retain ownership of any content you create or upload through the Service. By using the Service, you grant us a license to use, store, and process your content as necessary to provide the Service.
8.3 Roblox Content
All Roblox-related content, including game data, player information, and Roblox usernames, are subject to Roblox's Terms of Service and intellectual property rights. You agree to comply with Roblox's policies when using our Service.
9. Disclaimers and Limitations of Liability
9.1 Service Availability
We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
9.2 No Warranties
We disclaim all warranties, including but not limited to:
- Merchantability and fitness for a particular purpose
- Accuracy, completeness, or reliability of the Service
- Uninterrupted or error-free operation
- Security or freedom from viruses or harmful code
9.3 Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or business opportunities
- Service interruptions or downtime
- Errors or omissions in the Service
- Unauthorized access or data breaches
- Actions taken by you or other users through the Service
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless RoUtilities, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or third-party rights
- Content you create or actions you take through the Service
- Any moderation actions or decisions you make
11. Termination
11.1 Termination by You
You may terminate your account at any time by deleting your account through the Service or contacting support. Upon termination, your access to the Service will cease, and we may delete your data in accordance with our Privacy Policy.
11.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if you:
- Violate these Terms or any applicable laws
- Engage in fraudulent or illegal activity
- Fail to pay required fees
- Abuse or misuse the Service
- Pose a security risk to the Service or other users
11.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account data, though some information may be retained as required by law or for legitimate business purposes.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of Canada. Any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Canada.
12.2 Dispute Resolution
We encourage you to contact us first at [email protected] before escalating any dispute. Most issues can be resolved quickly through direct communication.
If a dispute cannot be resolved informally, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at adr.org or 1-800-778-7879), on an individual basis. The arbitrator's decision will be final and binding on both parties.
All claims must be brought on an individual basis. You agree not to bring or participate in any class action or representative proceeding against us.
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and us regarding the Service.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
13.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
13.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
